THIS IS TO CERTIFY THAT THE FOLLOWING RESOLUTION NO.2026-115 WAS
ADOPTED AT THE REGULAR MEETING OF THE SOUTHOLD TOWN BOARD ON
JANUARY 27,2026:
RESOLVED that the Town Board of the Town of Southold hereby authorizes and directs
Supervisor Albert J.Krupski,Jr.to execute a Memorandum of Understanding between the
Family Service League,Inc.and Southold Town to provide in-kind services through Senior .
Services Naturally Occurring Retirement Community Project(NORC),from January 1,2026
through December 31,2026,subject to approval of the Town Attorney.

MEMORANDUM OF UNDERSTANDING
The purpose of this Memorandum of Understanding(MOU)is to set forth an understanding of
the linkage between Family Service League, Inc. (FSL)and The Town of Southold Human
Services/Senior Center as it pertains to FSL's Neighborhood NORC, Long Island Senior
Connections.
Scope of Services:As such and contingent upon funding being awarded to Family Service
League,The Town of Southold Human Services/Senior Center agrees to contribute the
following at no charge to the Long Island Sound Senior Connections program of Family Service
League.
+ A reserved space for a Greenport NORC client in the Town of Southold
Social Model,Adult Day Program,Katinka House January 1,2026 through
December 31,2026 at a value of$150 per week for a total of$7,800
annually.
•. A reserved space for a Greenport NORC client for the transportation
associated with Katinka House participation at a rate of$25 per week
for a total of$1250 annually.
• 5 Annual Special Events at a rate of$200 per event totaling$1,000.00.
• Drivers—1 hour per Special Event for a total value of$225.30 annually,
p, Special Event fee of$5.00 per person per event totaling$250 annually.
Everytwo months transportation for Coffee and Conversation program
fora total of$270.36 annually.
• Transportation for Shopping Assistance(45 trips)and medical
appointments(5) peryeartotaling$4,506.
• Senior Citizens Bus Service Supervisor-2 hours per week for a total
value of$3,351.92 annually.
Senior Citizens Center Manager-1.5 hours perweekfor a totalvalue of
$3,416.40 annually.
• GoGo Medical Transportation Service for 40 one-waytrips annually
totaling$2,800
Annual Total=$24,869.98
Any and all services provided by the Town of Southold under this Agreement shall at all
times be completed by Town of Southold employees underthe direction and supervision of
the Town of Southold Human Services/Senior Center and their interpretations and
decisions shall be final and conclusive.The Town of Southold shall be responsible for
salary,benefits,etc.for its employees.
In any event,the Town,without prejudice to any other rights or remedy It may have, may,
with or without cause,by twenty(20)days written notice to the FSL,terminate this
agreement.

Indemnification: FSL agrees to indemnify and save the Town, its officers,agents and
employees harmless from any liability imposed upon the Town, its officers,agents and/or
employees arising from the negligence of FSL, its agents and/or employees, and from and
against any damages,claims, or expenses, including reasonable attorney's fees,arising
out of FSL's breach of the Agreement or from FSL's negligent or willful acts or omissions
outside the scope of the Agreement or arising out of claims or actions bythird parties
against FSL by virtue of its negligence and/or willful misconduct in its performance of this
Agreement. -
Assignment:FSL is hereby prohibited from assigning,transferring,conveying, subletting or
otherwise disposing of this Agreement,or of its right,title or interest in this Agreement,or
its power to execute this Agreement,to any other person or corporation without the
previous consent in writing of the Town.
Modification.This Agreement constitutes the complete understanding of the parties. No
modification of any provisions thereof shall be valid unless in writing and signed by both
parties

Applicable Law and Choice of Venue:This Agreement is governed by the laws of the State
of New York and any action commenced in relation to this contract shall be brought in
Supreme Court,Suffolk County.
Under this MOU, Family Service League and/or the Town of Southold will incur no other
actual or assumed obligations to each other beyond what is stated within this document.
