NOW,THEREFORE,THIS DECLARATION WITNESSETH: That the Declarant, for the purposes of carrying out the intentions above expressed, does hereby make known, admit,publish,covenant and agree that the said Property described in Schedule "A" annexed hereto shall hereafter be subject to the following covenants and restrictions,to wit: 1. Affordability: Three of the six apartments constructed as part of the Project shall remain affordable in perpetuity and shall be leased only to eligible individuals registered with the Town of Southold Housing Registry. 2. Administration: The leases shall be administered through the Town of Southold pursuant to the provisions of Chapter 34,Housing Fund,and §§ 280-24 through 280- 31 of Chapter 280,Article VI"Affordable Housing (AHD)District",now, or as may be amended. 3. Lease Price: The maximum lease price shall be set by resolution of the Town Board as set forth in Town Code §280-30 now,or as may be amended. 4. Tenant Eligibility: The tenant of the apartment(the Tenant) shall be registered with the Town of Southold Housing Registry and shall hold a Certificate of Eligibility issued by the Town in accordance with the Town Code. 5. Lease Procedure: The owner of the Property (the Owner) shall submit a copy of the proposed lease to the Town Clerk together with a written notice of its intent to enter into the lease at least 14 days prior to the effective date of said lease in accordance with§280-30 of the Town Code. The lease must be in writing, and must be for a period of at least one year,but not more than two years. Owner shall not enter into any lease without obtaining the prior written consent of the Town. Any lease entered into without the approval of the Town shall be void. 6. Annual Reports: The Owner and Tenant shall comply with all reporting requirements in Town Code §280-31,now,or as may be amended. 7. Perpetual covenants: These covenants and restrictions shall run with the land and shall be binding upon the Declarant, its successors and assigns,and upon all persons or entities claiming under it,and may not be waived, changed,modified,terminated, revoked or amended by subsequent owners of the Property,unless and until approved by a majority plus one vote of the Town Board of the Town of Southold or its successor, following a public hearing. 8. Severability: If any section, subsection,paragraph,clause,phrase or provision of these covenants and restrictions shall be adjudged by a court of competent jurisdiction to be illegal,unlawful, invalid or held to be unconstitutional,the same shall not affect the validity of these covenants as a whole or any other part or provision hereof other than the part so adjudged to be illegal,unlawful,invalid,or unconstitutional. 9. Enforceability: The aforementioned Covenants are intended for the benefit of and shall be enforceable by the Town of Southold, State of New York,by injunctive relief or by any other remedy in equity or at law.
