9:45 A.M. - The Board reviewed the Organizational Meeting agenda.
9:50 A.M. - Community Development Director James C. McMahon met with the
Board to discuss which consultants they would Like to interview for the purpose.
of preparing the final Waterfront Revitalization Grant Application. It was the
decision of the Board to interview all consulting firms who have shown an interest.
10: 10. A.M. '- .Continued reviewing the agenda. and off agenda item: , Letter from
Attorney Charles E. Raffe, representing Alexander Koke, William Rusch and
Kenneth Lohr and requesting an appointment to meet with the Board to discuss
their proposal to develop a parcel of land at the southwest corner of Cox's Lane
and Oregon Road, Cutchogue-, into an industrial park 'site, a cement plant site,
and an area to be used for the excavation. of sand. The Board reaffirmed their
policy of refusal to meet with petitioners to discuss proposals which will ultimately
come before the Town Board for a public hearing and subsequent decision.

2;'15 P.M. - Work' Session' reconvened. Present: . Town Board,. Town Clerk,:. Town
Attorney, Deputy Supervisor Frank A. Kujawski, 'Jr., Riverhead Town Councilman
Vicent Artele, Shelter Island Town Supervisor George Kontje and Councilmen Louis
H. Price and Kenneth Lewis; Greenport-Village Superintendent of Utilities James
I. Monsell and James Bitses, Esq., who were all on hand to .hear the presentation
of Wallace L. Duncan of Duncan, Weinberg & Miller,. P.C. , the law firm that
represented both the Town of Massena and the Village of Sherrill; New York in'
connection with their 'respective takeovers of investor-owned utilities in-their
service areas. Mr. Duncan outlined thq -Town of Massena's protracted- condemnation
suJiit, against Niagara Mohawk Power Corporation and the numerous ancillary litigation
relative to the takeover. The -acquisition, which began with a Town referendum in'
May, 1974, was finally completed on May 8, •1981 when Massena began operating the
electric 'distribution system in the Town and in three neighboring communities.
Electric`rates in'Massena were reduced by approximately 20 o immediately and today,
ratepayers in the Massena system pay about 450 less for electricity than consumers
who remained in'the Niagara Mohawk service territory: Mr. Duncan advised the
Town Board to engage competent legal and engineering advisors to conduct a
feasibility study at the outset. R. W. Beck & Associates,who has already presented
a proposal to the Town Board, worked with Duncan, Weinberg & -Miller, P.C. in'
both the Town of Massena and Village of Sherrill takeovers. He also advised. that
before a referendum an appraiser be hired to determine the estimated cost of the
proposed project and the maximum cost, and a competent bond counsel. The Board
will discuss the proposal in depth within the next few weeks.

The Organizational Meeting of the Southold Town Board was held on Thursday,
January 3, .1985 at the Southold Town Hall, Main Road, Southold, New York. •Super-
visor.Murphy opened the meeting at 4:00 P.M. with the Pledge of Allegiance to the
Flag.

RESOLUTIONS and APPOINTMENTS
SUPERVISOR MURPHY: I hereby appoint Frank A. Kujawski, Jr. , Deputy
Supervisor for the Town of Southold for the term January 1, 1985 through
December 31, •1985. Now I'd .ask. someone to make Resolution No. 1(b) .
1. Moved by Councilman Townsend, seconded by Councilwoman Cochran,
(b) WHEREAS, it 'is required by Section 27, Subdivision 1 of the Town Law that the
Town Board fix, from time to time, the salaries of all officers and employees of
the Town, whether elected or appointed, and determine when the same shall be
payable, now, therefore, be it
RESOLVED that the annual- salary of Krank A. Kujawski, �Jr. ; Deputy Supervisor
of the Town of Southold,. be and .hereby is set at $1,800..00 per annum effective
January 1, .1985., and the same shall be paid' in- regular semi-monthly payments.

WHEREAS., Section 64 of the Town Law requires the Town Boad to designate, by
resolution, banks in' the State in�which the Supervisor or any other officer of the
Town shall deposit *all moneys coming into their hands by virtue of their office, and
WHEREAS, the Town Board may require any bank, so designated, to deposit with
such Board bonds or certificates of the United States, of the State of New York,
or any county, town,. city,. village or school district of the State. of New York, as
security for .such funds so deposited, but such bond or certificate shall be subject
to the approval of the Town Board and shall be deposited in' such place and held
under such conditions as the Town Board- may determine, now, therefore, be it

SUPERVISOR MURPHY: Number 6 is 'to authorize the Highway Superintendent to
purchase equipment.

RESOLVED that pursuant to Section 142(1-A) of the Highway Law, the Southold
Town Superintendent of Highways be and hereby is authorized to purchase
equipment, tools, snow plows and other implements and devices without prior
approval of the Town Board in' the amount not to exceed $3, 000. 00 for any one
item during the period from January 1, .1985 through December 31, 1985.

RESOLVED that Supervisor Francis 'J. Murphy be and he hereby is 'designated
to represent the Town of Southold at the annual meeting of the Association of

Towns of the State of New York,.. to .be held, in New York .City on February 17,
18, :19, 20, •1985, and to cast the vote'of fhe aforesaid'Town of Southold pursuant
to Section 6 of Article Ill of the Constitution and By-Laws of said Association of
Towns, and be it 'further
RESOLVED that Frank A. Kujawski,Jr.be and he hereby is designated to act as
an alternate to cast the vote of the Town of Southold at the annual meeting of
the Association of Towns in the absence of Supervisor Francis J. Murphy.

SUPERVISOR MURPHY: Number 8 is to set expense allowance for the Association of
Towns.
8. Moved by Councilman Stoutenburgh, seconded by Justice Edwards, it was
RESOLVED. that .those officers and employees of the Town of Southold attending
the annual meeting of the Association of Towns of the State of New York be and
hereby are allowed $350.00 per officer and employee for the actual and necessary
expenses to travel, meals, and lodging incurred while attending said meeting.

SUPERVISOR MURPHY: Number. 9 is 'to set a travel allowance for personal automobiles
on Town business.
9. Moved by Councilman Townsend, seconded by Councilman Stoutenburgh, it 'was
RESOLVED that any Town official, elected or appointed, who is required to use
his own automobile in-the performance of his duty, be compensated for travel
expenses necessarily and actually incurred in carrying out the duties of his
office, at a rate not to exceed twenty ($.20) cents per mile.

SUPERVISOR MURPHY: Number 10 is"engage a certified public accountant.
10. Moved by Supervisor Murphy, seconded by Councilman Stoutenburgh, it _-was
WHEREAS, Section 123 of the Town Law provides that town officials and employees
who receive and disburse moneys of the Town shall on or before January 20th
account to the Town Board for all moneys received and disbursed by them in the
previous fiscal year, unless the Town shall engage the services of a certified
public ',accountant or public account prior to 'January 20th, and
WHEREAS, the Town Board deems it necessary to engage a public 'account to
prepare the aforesaid' annual account for all Town officers and employees, now,
therefore, be it
RESOLVED that the Town Board of the Town of Southold engage the services of
Elaine F. Kaldor, C.P.A., P.C. to make. the annual audit 'of the books and records
of officers and employees of the Town of Southold for the fiscal year 1984.

SUPERVISOR MURPHY: Number 11 is to invest surplus money.
11. Moved by Councilman Stoutenburgh, seconded by Justice Edwards,
WHEREAS, Section 11 of the General Municipal Law provides that the Town Board
may authorize the Supervisor, the chief fiscal.officer of the Town, to invest moneys
not required for immediate. expenditure, now, therefore, be it
RESOLVED that the Supervisor is hereby authorized to deposit 'or invest moneys
not required for immediate expenditure in special time deposit accounts, or certificates
of deposit issued by a bank or trust. company located and authorized to do business
in this state, provided, however, that such time deposit accounts or certificates f
deposit shall be payable withinsuch time as the proceeds shall be needed to meet
expenditures for which such moneys were obtained, and provided further that such
time deposit '.accounts or certificates of deposit be secured in the manner provided in
Section 11 of the General Municipal Law.

WHEREAS, it is 'required by Section 27, Subdivision 1 of the Town Law that the
Town Board fix', from time to time, the salaries of all officers, and employees of

otherwise we're not going to carry it.
SUPERVISOR MURPHY: I .thought we agreed to do it on a whole. Do it 'on a whole

SUPERVISOR MURPHY: Any questions?
COUNCILMAN TOWNSEND: Yes. We had a rather extensive debate about this '
and my feeling at the time was that while 1 wasn't able to come to an agreement
with the rest of the Board about all these salaries and several people weren't.
The fact is -my feeling is 'these are appointed positions, they're not elected
positions and these were to be determined now and they're to be determined
within the concepts within the confines of the budget and also reflect somewhat
on the duty of the job. I felt that in several instances we should not give
increases equivalent to ten and fifteen percent of the salaries. Some of these
increases are quite high. That's why originally we suggested we voted these
one at a time. I think at this point some of the salaries perhaps should be
brought up more than say seven or eight percent because of the duties of the

loq. some of them should not; however; "because they. have been treated fairly
right along and to increase a salary fifteen percent when we're trying to keep a
reign on the budget I think is uncalled for, so that's why I not going to--that's
why I intend not to go along with it unless you want to break it up into individual.

Moved by Councilwoman Cochran, seconded by Councilman Schondebare, it was
RESOLVED that this :1985 Organizational Meeting of the Southold Town Board be
and hereby is adjourned at 4:30 P.M.
Vote of the Town Board: Ayes: Councilwoman Cochran, Councilman Schondebare,
Councilman Stoutenburgh, Justice Edwards, Councilman Townsend, Supervisor Murphy.
